NEC Corporation Selesaikan Akuisisi Avaloq

NEC Corporation berhasil menyelesaikan proses akuisisi Avaloq sesuai jadwal yang disepakati sebelumnya.
Tokyo, TechnoBusiness JP • NEC Corporation (TSE: 6701), kelompok bisnis teknologi informasi terkemuka asal Jepang, telah menyelesaikan proses akuisisi Avaloq Group AG.
Kini, NEC menguasai 100% saham Avaloq, perusahaan penyedia solusi perbankan digital dan teknologi manajemen kekayaan yang berbasis di Zurich, Swiss, tersebut, dengan nilai akuisisi US$2,2 miliar.

Meski diakuisisi, Avaloq akan terus beroperasi sebagai entitasnya sendiri yang berpusat di Zurich.
Seperti diberitakan TechnoBusiness JP sebelumnya, keputusan akuisisi Avaloq diumumkan NEC pertama kali pada Oktober lalu dan dijadwalkan selesai pada April 2021.
Namun, ternyata akuisisi Avaloq—termasuk mengambil alih 45% saham firma ekuitas swasta asal New York, Warburg Pincus, LLC., dan saham pendiri Francisco Fernandez serta saham karyawan—dapat diselesaikan NEC lebih cepat.
Seiring dengan itu, NEC Corporation telah melantik dewan direksi baru Avaloq dengan EVP NEC Corporation Masakazu Yamashina sebagai chairman-nya.

Seiring dengan itu, NEC Corporation telah melantik dewan direksi baru Avaloq dengan EVP NEC Corporation Masakazu Yamashina sebagai chairman-nya.
Sebagai chairman, Yamashina akan dibantu oleh empat anggota dewan direksi baru, antara lain Tomoki Kubo, Tomonori Hira, Daichi Iwata, dan Asako Aoyama.
Para dewan direksi baru itu akan melengkapi Francisco Fernandez dan Peter Schopfer, dua anggota sebelumnya yang masih tetap berada di dewan direksi Avaloq.

Yamashina menjelaskan, meski diakuisisi, Avaloq akan terus beroperasi sebagai entitasnya sendiri yang berpusat di Zurich. Transaksi tersebut juga tidak mengarah pada divestasi perusahaan.
“Melalui akuisisi Avaloq, NEC memperoleh pengetahuan domain di bidang keuangan digital dan memasuki segmen ini secara global,” kata Yamashina dalam pengumumannya, Selasa (22/12).
Sementara itu, CEO Avaloq Jurg Hunziker menyatakan solusi Avaloq hanya akan berkembang menjadi lebih baik jika memanfaatkan keahlian NEC yang telah terbukti.

Karena itu, “Avaloq akan memasuki era baru bersama NEC,” tuturnya. “Saya sangat menantikan untuk memulai bagian dari perjalanan pertumbuhan baru itu.”•
